Buylined (also “the Platform”)

the platform accessible at buylined.com, owned and operated by Iguane Media Inc., a corporation constituted under the federal laws of Canada, registered in the Québec enterprise register under NEQ 1165016511, with its head office at 916, av. Aimé-Bibeau, Laval (Québec), Canada. Any right or obligation attributed to Buylined means Iguane Media Inc.

User

any person who accesses the site or uses the Platform, with or without an account.

Account

the personal space opened on the Platform.

Expert

the User who offers Services, subject to the Terms and Conditions — Experts.

Publisher

the User who acquires Services, subject to the Terms and Conditions — Publishers.

Services

the services described in the applicable role terms.

User Content

the materials you place on the Platform other than Content and Contribution within the meaning of the role terms, including profile information, messages, and account documents.

Access to the site and use of the Platform constitute acceptance of these terms.

Opening an Account requires express acceptance. Acting as an Expert or a Publisher also requires acceptance of the terms for that role.

If you do not accept these terms, you must not access the site or use the Platform.

Relations with Buylined may be governed by all or some of the following: these terms, the Terms and Conditions — Experts, the Terms and Conditions — Publishers, the privacy policy, the self-billing mandate, and the index methodologies published on the Platform.

In the event of a conflict:

1. –the role terms prevail for the provision or acquisition of the Services;
2. –these terms prevail for access to the site, the Account, and the intellectual property of the Platform.

The Account is reserved for persons aged at least eighteen who have legal capacity. Where it is opened for an entity, the person acting warrants that they are authorized to bind it.

You provide accurate information and keep it up to date. Only one Account is permitted, unless Buylined agrees otherwise in writing.

You are responsible for the confidentiality of your credentials and for all use of the Account, including by a third party. Any unauthorized use must be reported without delay.

Buylined may refuse, suspend, or close an Account in the event of inaccurate information, a breach of these terms or of the role terms, prohibited conduct, a reasonable suspicion of fraud, or a legal obligation.

Consulting the site confers neither Expert nor Publisher status.

Expert or Publisher status results from acceptance of the terms for that role and, where applicable, the verifications those terms provide. Buylined is not required to accept a registration for a role, nor to maintain an offer or an Account.

The TRUSTEXPERT and TRUSTEDITOR indices are information tools. They are not a professional certification, a guarantee of competence, or a guarantee of results. Their methodology is published on the Platform. Buylined may revise them.

Buylined endeavours to provide reasonable access to the Platform. It does not warrant uninterrupted access, the absence of errors, or compatibility with all equipment.

Buylined may modify, suspend, or discontinue all or part of the Platform, including for maintenance, security, a legal constraint, or a change to the service, without giving rise to any indemnity under these terms. The consequences of an interruption for an order in progress are governed by the applicable role terms.

The Platform, its software, architecture, databases, texts, graphics, trade-marks, logos, names — including Buylined, TRUSTEXPERT, and TRUSTEDITOR — and any other element of which it is composed are the property of Buylined or its licensors.

No licence is granted, other than the personal, non-exclusive, and revocable authorization to access the Platform and use it in accordance with these terms and, where applicable, the role terms.

The following are prohibited without prior written authorization: unauthorized reproduction, extraction, crawling or scraping, reverse engineering, making available to the public, resale of access, and use of the trade-marks or indices in a manner that would suggest a certification, partnership, or warranty that Buylined has not given.

Rights in Content submitted by a Publisher and in an Expert’s Contribution are governed exclusively by the applicable role terms.

You remain the holder of the rights you own in your User Content. You grant Buylined a non-exclusive, worldwide, royalty-free licence to host, reproduce, and display it, strictly to operate, secure, and improve the Platform and to perform obligations arising from these terms or the role terms.

You warrant that you have the necessary rights and that this content is not unlawful and does not infringe any third-party right.

Buylined may remove User Content that would contravene these terms, the law, or a third party’s rights.

The display of an Expert’s name, portrait, biography, and other elements to a Publisher is governed by the applicable role terms.

You undertake to use the Platform in accordance with these terms, the role terms where applicable, and the law.

The following are in particular prohibited:

1. –creating multiple Accounts or impersonating another person;
2. –circumventing a security, access, or verification measure;
3. –disrupting the operation of the Platform;
4. –extracting data otherwise than through the features provided;
5. –applying pressure on an Expert in order to obtain a Validation or an Attribution;
6. –monetizing a Validation off the Platform by circumventing it after an introduction;
7. –using the Platform for unlawful, misleading, or defamatory purposes, or in a manner that infringes a third party’s rights;
8. –presenting TRUSTEXPERT or TRUSTEDITOR as a professional certification.

Prohibited conduct specific to the Services is set out in the applicable role terms.

Buylined processes personal data in accordance with its privacy policy.

Opening an Account and using the Platform involve the processing of data necessary for those purposes. Processing specific to the Services, including making an Author Kit available after Validation, is described in the privacy policy and in the applicable role terms.

To the extent permitted by law, Buylined is not liable, under these terms, for damage resulting from unavailability, a Platform error, non-conforming use, equipment or a network that are not its own, or the acts of another User.

Liability arising from the provision or acquisition of the Services is governed exclusively by the applicable role terms.

Nothing in these terms excludes or limits a liability that cannot be excluded or limited under applicable law.

These terms apply to each access to the site and, if an Account is opened, for as long as it is active.

You may close your Account at any time, using the means offered by the Platform. Closure does not affect obligations that arose previously. The effects on Services, Attributions, and credits or sums on account are governed by the applicable role terms.

Buylined may suspend or terminate the Account immediately, without notice, in the event of a serious breach, a false statement, prohibited conduct, a reasonable suspicion of fraud, or a legal obligation. It states the reason, unless the law prevents it from doing so.

Any substantial amendment is notified by email with thirty days’ notice and requires a new acceptance. Anyone who refuses may close their Account. Minor amendments are notified without notice.

The version applicable to use of the Platform is the version in force at the time of that use. The version applicable to a provision of Services is the version indicated in the role terms.

These terms are governed by the law of the province of Québec and the laws of Canada applicable there.

The parties attempt to resolve any dispute amicably within thirty days. Failing that, the courts of the judicial district of Montréal have exclusive jurisdiction, subject to any mandatory rules of jurisdiction that cannot be derogated from.
