Buylined (also “the Platform”)

the platform accessible at buylined.com, owned and operated by Iguane Media Inc., a corporation constituted under the federal laws of Canada, registered in the Québec enterprise register under NEQ 1165016511, with its head office at 916, av. Aimé-Bibeau, Laval (Québec), Canada. Any right or obligation attributed to Buylined means Iguane Media Inc.

Publisher

the client who registers on the Platform to acquire Services.

Expert

the natural person, acting in their own name or through an entity they control, who offers Services on the Platform.

Content

the article or text you submit or, for an Article interview, the questions you submit and the Expert’s Answers.

Services

the services described in article 4.

Validation

the professional review of Content by an Expert, followed by its express approval. For an Article interview, the sending of the Answers together with the Expert’s consent to their publication.

Certification

the document issued by Buylined attesting that Content has been Validated by an identified Expert, on a specified date. For an Article interview, the Certification covers the Answers.

Attribution

the public mention of the Expert’s name associated with Content, in one of the forms in article 5, including the mention of the Expert as the interviewed person.

Contribution

any original editorial element provided by the Expert and included in the Content, including their Answers. Validation alone, or acceptance of an Attribution alone, is not a Contribution.

Answers

the written answers provided by the Expert to your questions as part of an Article interview or a Mini-interview.

Author Kit

the materials made available to you after Validation, including the Expert’s portrait, biographies, and social profile URLs.

Authorized site

the site indicated in the order.

Credits

prepaid units, denominated in the account currency, that may be used solely to acquire Services on the Platform. They have no monetary value off the Platform.

TRUSTEXPERT

the confidence index assigned to an Expert.

TRUSTEDITOR

the confidence index assigned to the Publisher.

These terms set out the conditions under which you acquire Services and Buylined provides them to you.

Buylined acts as principal contractor. It acquires the Services from the Expert and resells them to you in its own name. You have no direct contractual relationship with the Expert, except under a separate agreement.

Opening an account, purchasing Credits, and placing orders constitute acceptance of these terms.

You warrant the accuracy of your account and billing information, and you keep it up to date. You are responsible for use of your account.

You declare that you use the Platform in the course of a professional or editorial activity.

Every order is based on one of the following three services:

1. a)review of Content by an Expert, any comments or requests for correction, and approval for an Attribution “Relu et validé par” (“Reviewed and validated by”);
2. b)review of Content already written, any comments or requests for correction, adoption of the Content by the Expert, and approval for an Attribution “Écrit par” (“Written by”);
3. c)written answers by the Expert to ten to fifteen questions you submit, and their consent to the publication of those Answers under an Attribution “Expert interviewé” (“Interviewed expert”) (“Article interview”). The Expert is not named as the author of the Content so formed.

The following may be added, and only as add-ons:

1. d)an original Contribution included in the Content (“Expert anecdote”), with services a) and b) only;
2. e)written answers by the Expert to five questions you submit, published at the end of the Content (“Mini-interview”), with service a) only;
3. f)distribution of the Content on the social account or accounts indicated in the Expert’s offer (“Social share”), with any service.

No Expert anecdote, no Mini-interview, and no Social share is offered or ordered on its own. The Mini-interview may be combined with the Expert anecdote.

Each order specifies the Services, the form of Attribution, the Content or the questions, the Authorized site, and the displayed price.

Buylined does not guarantee that a given Expert will accept an order, or that an offer will be available at a price less than or equal to your Credit balance.

“Relu et validé par” (“Reviewed and validated by”) — the Expert attests that they have reviewed the Content and approve it in light of their expertise. They are not its author.

“Écrit par” (“Written by”) — after review and, if needed, correction, the Expert may approve the final version and agree to be publicly named as its author. They are not required to have written the original text. This Attribution is an agreed public designation; it does not transfer any copyright of the Expert to you. You remain the owner of the Content you submitted.

“Expert interviewé” (“Interviewed expert”) — the Expert answers, in writing, the questions you submit. Their Answers may form all or part of the published Content. You present the Expert as the interviewed person; you do not name them as author. Their Validation covers their Answers only: the title, introduction, subheadings, boxes, and any other element you add are not covered by the Certification and may not be presented as validated by the Expert. After the Answers are sent, you may request, through the Platform and with a reason, a change to an Answer; the Expert remains free to act on it or to maintain their Answer. You do not rewrite the Answers, subject to the minor changes of form in article 11.

“Expert anecdote” — add-on: the Expert provides an original Contribution included in the Content. You may adapt its form without changing its meaning. This Contribution is part of the validated text and is not a separate Attribution. The Expert’s public role for the Content as a whole remains that of the main offer.

“Mini-interview” — add-on to the “Relu et validé par” Attribution only: the Expert answers, in writing, exactly five questions you submit. Their Answers are inserted, with the questions, at the end of the validated Content. They are a Contribution and do not constitute a separate Attribution. The Expert’s public role for the Content as a whole remains that of the main offer. The Mini-interview may be combined with the Expert anecdote.

“Social share” — add-on: sharing of the Content by the Expert on the account or accounts indicated in their offer, on the terms of that offer.

The order is formed when you confirm it on the Platform and the corresponding Credits are debited.

No Attribution may be applied without the Expert’s express, specific, and prior consent for the Content concerned. That consent is collected by the Platform and time-stamped. For an Article interview, it covers the publication of the Answers and the display of the Expert’s name, portrait, and biography as the interviewed expert. Until the Certification is issued, you have no right to use the Answers, the name, portrait, biography, or any other element relating to the Expert.

The Expert is never required to validate Content or to answer questions. They may refuse the order, condition Validation on corrections, or withdraw before approval.

You, like Buylined, are prohibited from applying pressure on the Expert to obtain a Validation or an Attribution.

The price is a fixed lump sum. It does not depend on any performance indicator of the Content, the site, or your activity. No variable remuneration or results-based interest may be agreed.

The Expert’s remuneration — Validation, Attribution and, where applicable, Expert anecdote or Mini-interview — becomes due when the Expert expressly approves the Content or, for an Article interview, when they send their Answers with their consent. That act triggers issuance of the Certification. The corresponding Credits are then consumed definitively, including Buylined’s increase. They remain consumed even if you do not publish the Content. No re-credit is due for that fact alone. A request to change an Answer made after the Answers are sent neither suspends nor reopens the consumption of Credits.

No re-credit provided in these terms constitutes a cash refund.

Where the Service includes an Attribution and the Certification has been issued, Buylined allows you to display the Expert’s name, portrait, biography, and other Author Kit elements solely in connection with the Content and on the Authorized site indicated in the order, and in archives and republications directly controlled by you.

This authorization is limited to the agreed publication. It confers on you, and on Buylined, no general, independent, or transferable right to exploit the Expert’s name, image, biography, or reputation.

If you publish the Content, you must apply the Attribution in the form provided in the order. You may not present the Content as validated, reviewed, written, or approved by the Expert without that Attribution.

For an Article interview, you publish the Answers, in whole or in part, together with the corresponding questions and without altering their meaning. You present the Expert as the interviewed person, with the Author Kit elements, and do not name them as author. The elements you add around the Answers may not be presented as validated or approved by the Expert.

You are not required to publish. Failure to publish does not affect the Credits consumed, subject to article 7.5 for the Social share alone.

You may not use the Author Kit, name, portrait, or biography of the Expert for another article, advertising, a commercial testimonial, promotion of a product or service, or any other use foreign to the order.

You are not subject to any exclusivity. You remain free to acquire identical or similar services from any third party.

On expiry of that period, the Expert may request its withdrawal without cause. Buylined forwards the request to you within seven business days. You must then remove the Attribution from the Content and from any republication under your control within thirty days.

The Expert keeps the remuneration received. Withdrawal is not retroactive and gives no right to a re-credit.

Serious causes include, in particular: a substantial change to the Content that distorts the Validation; attributing to the Expert statements, opinions, or recommendations they did not approve; a serious attack on their reputation, honour, or privacy; Content that has become manifestly inaccurate, misleading, or unlawful; publication on an unauthorized site or medium; use of the name, portrait, or biography outside the order; a court order or a legally founded request for cessation, de-indexing, or withdrawal of consent.

If Buylined considers the request well-founded or if withdrawal is required by law, it suspends the Certification and asks you to remove the Attribution as soon as possible, and no later than the deadline it indicates.

Where early withdrawal results from a breach attributable to you, no re-credit is due. Where withdrawal results from a serious breach by the Expert, article 19 applies.

After withdrawal, you may neither maintain the Attribution nor create the impression that the Expert continues to approve the Content.

You remain the owner of the Content you submit.

You grant Buylined a non-exclusive licence to reproduce, present, host, format, and communicate the Content, strictly limited to the provision of the Services (making it available to the Expert, processing the order, Certification, retention, and proof).

The Expert retains copyright in their Contribution. Buylined grants you, in that Contribution, a sublicence limited to the rights strictly necessary for the agreed publication and exploitation. This sublicence is limited to exploiting the Contribution as part of the Content, on the Authorized site, and in archives and republications directly controlled by you. It does not authorize separate exploitation of the Contribution (another article, advertising, a commercial testimonial, promotion of a product or service) without a new authorization.

Withdrawal of the Attribution entails withdrawal of the Expert’s name, portrait, and biography. It does not automatically entail withdrawal of a Contribution already included, unless keeping it would infringe the Expert’s rights or create a misleading attribution.

The Expert may mention their contribution in their portfolio and professional communications.

After Validation, you may make no substantial change to the Content, nor any change that alters the meaning, scope, or accuracy of the Validation or of a Contribution.

Only minor changes of form are permitted (correction, layout, adaptation to the medium) that do not alter the meaning, scope, or accuracy.

For an Expert anecdote, you may adapt its form without changing its meaning. Any alteration of meaning constitutes a substantial change.

For the Answers of an Article interview or a Mini-interview, you may not rewrite them. You may ask the Expert, through the Platform and with a reason, to change an Answer; they remain free to act on it. Publishing a changed Answer without the Expert’s agreement constitutes a substantial change.

A substantial change constitutes a serious cause within the meaning of article 9.2.

You represent and warrant:

1. –that you have the right to submit the Content and to authorize the processing provided in these terms;
2. –that the Content does not infringe any third-party right, and is not unlawful, defamatory, misleading, or contrary to public order;
3. –that publication on the Authorized site is lawful and that you have control of it or authorization;
4. –that performance of the order is not intended to obtain from the Expert an act contrary to a contractual, ethical, or statutory obligation;
5. –that the information provided with the order, including the Authorized site, is accurate.

The following are prohibited, including: applying an Attribution without Certification; substantially changing validated Content; using the name, portrait, biography, or Author Kit outside the order; presenting TRUSTEXPERT or TRUSTEDITOR as a professional certification; applying pressure on an Expert; monetizing a Validation off the Platform by circumventing it after an introduction; assigning, reselling, or attempting to exchange Credits; creating multiple accounts or impersonating another person; manipulating a confidence index.

The Certification attests only that an identified Expert validated the Content on the date indicated or, for an Article interview, that they provided the Answers and consented to their publication. It constitutes neither an absolute or exhaustive guarantee of the accuracy of the Content, nor a professional certification, nor a guarantee of results (audience, traffic, ranking, sales, or revenue).

TRUSTEXPERT is an information tool relating to the Expert. It is neither a professional certification nor a guarantee of competence.

Buylined assigns the Publisher a TRUSTEDITOR index according to objective criteria and the methodology published on the Platform, including:

1. –the number of purchases made;
2. –publication URLs provided;
3. –refusals by Experts for a Content-quality reason, namely: article quality, article too short, too many factual errors.

TRUSTEDITOR is an information tool; it is neither a certification nor a guarantee. Buylined may revise it. You may contest its calculation by filing a claim.

Prices and Credit purchases may be increased by applicable taxes, as indicated on the Platform.

You declare the accuracy of your billing and tax-residence information. You assume your own tax obligations.

You bear the consequences of any inaccurate, incomplete, or late declaration, including taxes, withholdings, interest, and penalties that would result for Buylined.

Buylined issues the billing documents corresponding to Credit purchases, according to applicable rules and the information you have declared.

Credit purchases are made by the means offered on the Platform. Credits are posted to the balance only after collection.

Any re-credit provided in these terms is made exclusively to the Credit balance, never in cash, except where a contrary legal obligation applies.

Validation is performed by the Expert, within the limits of their expertise and of the ordered Service. It does not constitute an absolute or exhaustive guarantee of the accuracy of the Content.

For an Expert anecdote, a Mini-interview, or an Article interview, the Expert’s undertaking covers the authenticity and reasonable accuracy of their Contribution and Answers alone. They are not liable for the elements you add around their Answers. A Social share does not constitute a Validation.

Buylined is not liable for the Expert’s acts, subject to the obligations expressly incumbent on it under these terms.

Buylined guarantees no publication, audience, ranking, or sales result, nor that an offer will be available at a price less than or equal to your balance.

Buylined’s liability to you, on all heads combined, is limited to the Credit value of the order concerned during the twelve months preceding the event giving rise to the claim.

You indemnify Buylined against claims arising from the Content you submitted, a breach of article 12, unauthorized use of the Attribution or the Author Kit, or an infringement of a third party’s rights attributable to you.

Buylined processes your data in accordance with its privacy policy. Identity, account, and billing data are retained for the duration of the relationship and applicable legal periods.

Author Kit elements and other personal information of the Expert made available to you may be used only for the display provided in article 8. You may not reuse them for other purposes, assign them, or exploit them for prospecting. If the Attribution is withdrawn, you cease all display and all use of those elements.

These terms apply for as long as your account is active.

You may close your account at any time. Closure does not affect orders in progress or Attributions already granted, subject to article 9, or obligations that arose earlier. Remaining Credits are lost.

Buylined may suspend or terminate your account immediately, without notice, in the event of a serious breach, a false declaration, or prohibited conduct. It states the reason. Credits already consumed for services performed by the Expert are not re-credited. Remaining Credits may be cancelled.

Where the Certification is withdrawn or an Expert’s account is terminated because of a serious breach, a false declaration, or prohibited conduct by the Expert, Buylined may re-credit all or part of the displayed price of the order concerned. That re-credit is not due where withdrawal results from a breach attributable to you. It never constitutes a cash payment.

Any substantial change is notified by email with thirty days’ notice and requires a new acceptance. Anyone who refuses may close their account without penalty, without a refund of remaining Credits. Minor changes are notified without notice.

The version applicable to each service is the version in force on the date of Validation. The version applicable to each Credit purchase is the version in force on the date of that purchase.

These terms are governed by the law of the province of Québec and the laws of Canada applicable there.

The parties attempt to resolve any dispute amicably within thirty days. Failing that, the courts of the judicial district of Montréal have exclusive jurisdiction, subject to mandatory rules of jurisdiction that cannot be waived.
